The One Big Beautiful Bill Act made the S corporation playbook permanent, but "permanent" doesn't mean "set it and forget it." With the §199A deduction locked in, 100% bonus depreciation back, domestic R&E expensing restored, and the SALT cap raised and phased out at higher incomes, the S corporation remains the go-to entity for many closely held businesses. The planning around it, though, has changed in important ways.
This fast-paced session covers the S corporation developments that matter most heading into the 2026 filing season and 2027 planning. We'll look at OBBBA provisions as they apply to S corporations and their shareholders, recent court cases and IRS guidance on reasonable compensation, basis, and election relief, and practical issues tied to inadvertent terminations, late elections, and shareholder eligibility. We'll also revisit the pass-through entity tax election, including how it works in Oklahoma, and the S versus C entity choice question now that the QSBS rules have been expanded.
Learning Objectives:
- Identify the key OBBBA provisions affecting S corporations and their shareholders, including §199A, bonus depreciation, §174A R&E expensing, and the revised SALT cap.
- Apply current reasonable compensation principles and recent case law to evaluate S corporation shareholder-employee wage and distribution strategies.
- Determine shareholder stock and debt basis for loss and distribution purposes, including Form 7203 reporting.
- Recognize common S election and eligibility pitfalls, such as late elections, inadvertent terminations, second-class-of-stock issues, and ineligible shareholders, and select the appropriate IRS relief procedure.
- Evaluate whether a pass-through entity tax election makes sense for S corporation clients, including Oklahoma’s election rules and timing.
- Compare S corporation and C corporation treatment in light of the 21% corporate rate and expanded §1202 QSBS benefits to advise clients on entity choice and exit planning.
